Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Quzek ("Quzek", "we", "us", "our") and govern your access to and use of the Quzek booking and practice management software, our websites, and related services (the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a practice or organisation, you represent that you are authorised to bind it, and "you" refers to that organisation.
Please also read our Privacy Policy and, where applicable, our Data Processing Agreement, which are incorporated into these Terms.
1. Definitions
"Customer Data" means the information you and your users enter into or upload to the Service, including information about your clients. "User" means an individual you authorise to use the Service under your account. "Subscription" means your paid plan. "Order" means the plan and options you select when subscribing.
2. Eligibility and authority
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for ensuring that your use, and your users' use, complies with all laws and professional or regulatory obligations that apply to your practice.
3. The Service
Quzek provides online scheduling, online booking, reminders, digital intake and consent, clinical records, invoicing, payments and related tools for health and wellness practices. We continually improve the Service and may add, change or remove features. We aim to give reasonable notice of material changes that adversely affect core functionality. The Service is a software tool only and is not a substitute for professional, clinical, legal, accounting or regulatory judgement.
4. Accounts and security
You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials, for enabling appropriate security controls (such as two-factor authentication), and for all activity that occurs under your account and your users. Notify us promptly at [email protected] if you suspect any unauthorised use. You are responsible for your users' compliance with these Terms.
5. Free trial
We may offer a free trial. During the trial the Service is provided "as is" without any warranty. Unless you subscribe to a paid plan before the trial ends, your access may be suspended and your trial data may be deleted after a reasonable period. We may modify or discontinue trials at any time.
6. Fees, billing and taxes
Paid plans are billed in advance on a recurring basis (for example monthly or annually) according to your Order. By subscribing, you authorise us (and our payment processor) to charge your payment method for the applicable fees, including at each renewal, until you cancel. Fees are exclusive of taxes, and you are responsible for any applicable taxes. Fees may change; we will give reasonable notice, and changes take effect at your next renewal. Except where required by law or expressly stated, fees are non-refundable, including for partial billing periods and unused time.
7. Renewal and cancellation
Subscriptions renew automatically for the same period unless you cancel before the renewal date. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and you retain access until then. We do not provide refunds for the remainder of a period after cancellation unless required by law.
8. Acceptable use
You agree not to, and not to permit anyone to:
- use the Service in violation of any law or third-party right, or for any unlawful, harmful, fraudulent or deceptive purpose;
- access, tamper with, or use data or areas of the Service that are not yours;
- attempt to probe, scan, disrupt, overload, or breach the security or integrity of the Service;
- reverse engineer, decompile, or attempt to extract source code, except as permitted by law;
- resell, sublicense, or provide the Service to third parties except your authorised users;
- upload malicious code, or content that is illegal, infringing, harassing or harmful;
- use the Service to send unlawful or unsolicited communications (spam); or
- misrepresent your identity or your authority to act for a practice.
We may investigate suspected violations and may suspend or terminate access for conduct we reasonably believe breaches these Terms or harms the Service or others.
9. Customer Data and ownership
As between you and Quzek, you own and are responsible for your Customer Data. You grant us a worldwide, non-exclusive licence to host, copy, process, transmit and display Customer Data solely as needed to provide, secure, support and improve the Service, and as otherwise permitted in our Privacy Policy and Data Processing Agreement. You are responsible for the accuracy, legality and quality of Customer Data, and for obtaining all consents and providing all notices required to collect and use it (including your clients' information).
10. Your compliance responsibilities
You are the controller of your clients' information and remain responsible for meeting your own legal, professional and regulatory obligations — including privacy, health-records, consent and retention requirements. Quzek provides tools to support your compliance (such as consent records, data export, erasure, audit logs and encryption), but using the Service does not by itself make your practice compliant. 11. Intellectual property
The Service, including all software, design, text, and trademarks, is owned by Quzek or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your Subscription in accordance with these Terms. No rights are granted except as expressly stated. Feedback you provide may be used by us without restriction or obligation.
12. Third-party services
The Service may integrate with or link to third-party services (for example payment, email, SMS or calendar providers). Those services are governed by their own terms and privacy policies, and we are not responsible for them. Your use of an integration is at your own discretion.
13. Confidentiality
Each party may access information that is confidential to the other. Each party agrees to protect the other's confidential information with reasonable care and to use it only as needed to perform under these Terms, except where disclosure is required by law.
14. Service availability and support
We work hard to keep the Service available, reliable and secure, and we provide support through the channels described on our Contact page. However, we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and will make reasonable efforts to minimise disruption and to schedule significant maintenance sensibly.
15. Warranties and disclaimers
Except as expressly stated, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet every requirement or be uninterrupted, secure or error-free. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
16. Limitation of liability
To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data or goodwill; and (b) each party's total aggregate liability arising out of or relating to these Terms is limited to the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim. These limits do not apply to liability that cannot be excluded by law.
17. Indemnification
You agree to indemnify and hold Quzek harmless from claims, damages and reasonable costs arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights, except to the extent caused by Quzek.
18. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or where we reasonably believe your use poses a security or legal risk. We will use reasonable efforts to give notice where appropriate.
19. Effect of termination
On termination or expiry, your right to use the Service ends. You may export your Customer Data for a reasonable period after termination, after which we may delete it from active systems in the ordinary course, subject to any legal retention requirements or the terms of a Data Processing Agreement.
20. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Quzek is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction have exclusive jurisdiction, except where mandatory local law gives you rights to bring proceedings elsewhere. The parties will attempt to resolve any dispute informally before commencing formal proceedings.
21. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, outages of third-party infrastructure, network or power failures, strikes, or governmental action.
22. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
23. General
These Terms, together with our Privacy Policy and any Order or Data Processing Agreement, are the entire agreement between us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
